Terms of Service
Effective date: [TO BE CONFIRMED BY LEGAL] — Governing law: New South Wales, Australia
1. About these terms
These Terms of Service ("Terms") govern your access to and use of the Exectables platform operated by Exectables Pty Ltd (ACN [TO BE CONFIRMED]) ("Exectables", "we", "us").
By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.
[LEGAL: confirm whether click-wrap acceptance at sign-up is sufficient or whether a separate executed agreement is required for firm accounts.]
2. Account terms
- You must be at least 18 years old and legally able to enter binding contracts under Australian law.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate and current information when creating your account. Misrepresentation of professional credentials is grounds for immediate termination.
- One person may not maintain more than one individual account.
3. Acceptable use
You agree not to:
- Use the platform for any unlawful purpose or in violation of Australian law.
- Misrepresent your identity, qualifications, or employment history.
- Contact executives or firms through the platform for purposes outside of legitimate advisory, mentorship, or project engagement.
- Scrape, crawl, or systematically extract data from the platform without written consent.
- Interfere with the platform's technical infrastructure or attempt unauthorised access to any system.
4. Executive terms (Exec accounts)
[Section to be drafted by legal — covering: 15-hour availability commitment, profile accuracy obligations, engagement conduct standards, confidentiality obligations to matched firms, off-platform solicitation restrictions, and payment / fee-sharing terms.]
5. Buyer / firm terms (Firm accounts)
[Section to be drafted by legal — covering: subscription terms, payment obligations, authorised use of exec access, confidentiality obligations to executives, prohibition on direct hire or bypass of platform after introduction, and audit rights.]
6. Intellectual property
The Exectables platform, brand, and all content produced by Exectables (excluding user-submitted content) are owned by or licensed to Exectables Pty Ltd. You may not reproduce, distribute, or create derivative works without written permission.
You retain ownership of content you submit to the platform (profile data, CV, messages). By submitting content, you grant Exectables a limited, non-exclusive licence to use that content to operate the platform and provide the services described in these Terms.
7. Disclaimers
The platform is provided "as is" and "as available". Exectables does not warrant that the platform will be uninterrupted, error-free, or free from viruses or harmful components.
[LEGAL: review and expand disclaimer language to Australian Consumer Law standards — in particular, confirm which ACL guarantees cannot be excluded and how to frame the carve-out appropriately.]
8. Limitation of liability
[Section to be drafted by legal — covering: cap on liability, exclusion of consequential damages, carve-outs required under the Australian Consumer Law, and proportionate liability under the Civil Liability Act 2002 (NSW).]
9. Termination
Exectables may suspend or terminate your account at any time for breach of these Terms, with or without notice. You may close your account at any time by contacting us at support@exectables.com.
[LEGAL: confirm notice requirements and any refund obligations on termination for firm subscriptions.]
10. Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of the platform will be subject to the exclusive jurisdiction of the courts of New South Wales.
[LEGAL: confirm whether a dispute resolution / mediation clause should precede litigation, and whether jurisdiction should be federal given potential interstate users.]
11. Changes to these terms
We may update these Terms from time to time. We will notify registered users by email of material changes. Continued use of the platform after the effective date of updated Terms constitutes acceptance.
